TERMS OF USE AND PLATFORM GUIDELINES

Welcome to Fanspace.io (“Fanspace,” “we,” “us,” or “our”). We are delighted that you have chosen to explore or use our online platform and services (collectively, the “Platform”). This Terms of Use and Platform Guidelines document (the “Agreement”) sets forth the binding legal terms and conditions that govern your access to and use of the Platform. Whether you are here for entertainment, creativity, or business opportunities, it is crucial to read through these terms thoroughly to understand your legal rights and responsibilities.
We suggest that you set aside enough time to read all of these terms carefully. By accessing or using Fanspace in any capacity (which can include creating an account, browsing content, making purchases, interacting with other users, or simply exploring the site’s functionalities), you confirm that you have read, understood, and agreed to be bound by the conditions stated herein, as well as any additional policies we reference. If you do not agree with anything contained in this Agreement, you must discontinue your use of the Platform immediately.

We have tried to draft each clause in clear language so you can fully understand the implications of using Fanspace. Throughout this Agreement, references to the singular include the plural and vice versa, and references to “including” or “for example” are illustrative and do not limit the generality of the item in question.
I. INTERPRETIVE FRAMEWORK AND DEFINITIONS
For the purposes of this Agreement and to ensure interpretative precision, the following defined terms shall carry the specific meanings ascribed to them herein. These definitions shall apply consistently throughout this Agreement and any supplemental documents incorporated by reference.
1. Account
Refers to the individualized user profile—whether personal or business in nature—established upon successful registration on the Fanspace platform. Each Account is uniquely associated with the registrant’s identity and credentials.
2. Platform
Denotes the digital environment operated under the Fanspace.io domain, inclusive of all affiliated subdomains, applications, and integrated interfaces through which services and functionalities are made accessible to Users.
3. Services
Encompasses the full suite of features, utilities, and operational capabilities provided through the Platform, including but not limited to user registration, content hosting and distribution, monetization mechanisms, communications tools, subscription management, support services, and ancillary engagement programs.
4. User
Refers broadly to any individual or legal entity accessing or utilizing the Platform, including both general consumers and content contributors. The terms “you” and “your” as used throughout this Agreement shall be construed accordingly.
5. Creator
Designates a User who engages primarily in the provision of content intended for monetization—whether through subscription-based access, paid offerings, or other Platform-enabled commercial features. Creators may also be referred to as “Content Creators” or “Creative Users.”
6. Content
A collective term for all forms of material accessible via the Platform, encompassing—without limitation—textual elements, audio recordings, video footage, images, software, scripts, interactive media, and graphical compositions. This term includes User Content, defined as content authored, submitted, or disseminated by Users.
7. User Content
Means any material, post, message, stream, or publication—whether static or interactive—created or uploaded by a User. This includes, but is not limited to, visual media, written posts, audiovisual broadcasts, and commentary.
8. Paid Services / Paid Features
Indicates any portion of the Platform that is subject to payment obligations, including but not limited to subscription packages, premium content access, in-app purchases, exclusive areas, or feature unlocks acquired through monetary or credit-based transactions.
9. Credits
Represents proprietary digital tokens or units of value that Users may purchase or otherwise accrue, which are redeemable for designated Services or features within the Platform.
10. Balance
Refers to the aggregated value, whether in fiat currency or Credits, maintained within a User’s Account for the purpose of facilitating Platform-related transactions, subject to applicable rules and limitations.
11. Payment Partner
Means any authorized third-party entity engaged by Fanspace to facilitate financial transactions, including credit or debit card processors, digital wallets, payment gateways, or banking intermediaries.
12. Ancillary Instruments
Comprises all supplementary documents and enforceable instruments issued by Fanspace in relation to this Agreement, which may include, but are not limited to, the Privacy Policy, Cookies Policy, Community Guidelines, Creator Payment Terms, and other applicable directives, notices, or usage conditions.
13. Privacy Policy
Refers to the formal policy issued by Fanspace outlining the principles and procedures governing the collection, use, retention, and disclosure of Personal Data, forming a material component of this Agreement.
14. Cookies Policy
Denotes the document describing the use of browser cookies and related tracking technologies on the Platform, including how such tools affect data processing and user experience.
15. Community Guidelines
Specifies the codified standards and behavioral expectations applicable to all Users, particularly regarding conduct, content publication, and user interactions. These Guidelines are periodically reviewed and updated.
16. Personal Data
Shall bear the meaning accorded under applicable Data Protection Laws and generally encompasses any data relating to an identifiable natural person, directly or indirectly, including names, identifiers, contact information, and behavioral data.
17. Data Protection Laws
Encompasses all prevailing laws and regulatory frameworks governing the collection, processing, and safeguarding of personal data, including (without limitation) the General Data Protection Regulation (GDPR), the UK Data Protection Act 2018, the California Consumer Privacy Act (CCPA), and any analogous legislation applicable to the User’s jurisdiction.
18. Device
Means any internet-enabled hardware or equipment—such as desktops, laptops, mobile phones, tablets, or connected wearables—used to access or interface with the Platform.
19. Business Days
Defines standard operating days as Monday through Friday, excluding public holidays or official closures in the jurisdiction relevant to the Agreement’s performance. Business hours shall be construed as 9:30 a.m. to 5:30 p.m., local time.
20. Event Beyond Control
Refers to any occurrence, act, or condition that is reasonably unforeseeable or unavoidable, and which impedes the performance of contractual obligations. Such events may include, but are not limited to, natural catastrophes, armed conflict, governmental restrictions, labor strikes, systemic technical failures, or disruptions caused by external service providers.
21. Fanspace / We / Us / Our
Shall be interpreted as referring to the corporate entity operating the Fanspace.io platform, including its affiliates, successors, assignees, and authorized representatives.
22. Interpretive Conventions
Unless expressly stated otherwise:
- Singular terms shall include the plural, and vice versa.
- Gendered expressions shall be construed as inclusive of all genders.
- The terms “including,” “such as,” or similar expressions shall be deemed illustrative and not exhaustive.
II. ACKNOWLEDGEMENT AND LEGAL COMMITMENT
1. Contractual Assent and Legal Effect
Your engagement with the Fanspace Platform—whether through mere access, account creation, or utilization of any offered Services—constitutes your unequivocal acceptance of, and legal submission to, the terms and conditions set forth herein. This Agreement thereby establishes a binding contractual relationship between you, as User, and the entity operating Fanspace. Should you disagree with any provision contained in this instrument, you are expressly prohibited from accessing, using, or continuing any interaction with the Platform.
2. Eligibility and Legal Competency
By entering into this Agreement, you affirm, represent, and warrant that:
- You have attained the legal age of majority in your jurisdiction (which shall be no less than eighteen [18] years of age, or older where so mandated by applicable local legislation); and
- You possess the requisite legal authority and capacity to enter into binding agreements under the laws governing your place of residence or use.
Any attempt to access or use the Platform in contravention of the foregoing eligibility requirements shall be deemed unauthorized and void ab initio. Fanspace reserves the right to restrict or terminate access in the event of any breach or misrepresentation concerning age or legal capacity.
3. Extent of Application and Contractual Incorporation
This Agreement governs your use of the Platform in its entirety, including all public-facing areas, interactive components, and any feature designated as premium, subscription-based, or otherwise requiring payment or special access credentials.
You acknowledge that certain Paid Services or specific functionalities may be governed by supplementary terms, policies, or operational rules issued by Fanspace. Such ancillary terms shall be deemed incorporated into this Agreement by reference and shall possess equal binding force. Your continued use of any such Service shall constitute express acceptance of all associated supplemental provisions.
III. MODIFICATION OF TERMS AND CONTINUING OBLIGATIONS
1. Right of Amendment and Policy Revisions
Fanspace retains the exclusive authority to amend, adapt, or wholly revise the terms of this Agreement at its sole discretion and without prior individual consent. Such modifications may encompass substantive changes, interpretive clarifications, or structural updates to reflect evolving operational, legal, or technical circumstances.
Notification of material amendments shall be duly issued through one or more of the following channels: (i) a conspicuous announcement posted directly on the Platform; (ii) an electronic notice dispatched to the email address associated with your Account; or (iii) any other reasonable means designed to ensure awareness.
It is your responsibility to remain informed of any such revisions. Your continued access to, or utilization of, the Platform following publication of an updated version shall be deemed unambiguous and binding acceptance of the modified terms in their entirety.
2. Commencement of Revised Terms
Unless expressly stated otherwise, any amendment to this Agreement shall take immediate effect upon its official publication by Fanspace. The revised terms shall supersede all prior iterations and govern your subsequent use of the Platform and Services without further notice.
Should you find any modification unacceptable, your sole and exclusive remedy shall be to cease using the Platform and, if applicable, terminate your Account pursuant to the procedure detailed in Section 20 of this Agreement. Absent such action, your continued engagement shall constitute conclusive affirmation of your consent to be bound by the updated Agreement.
IV. PLATFORM PURPOSE, SERVICE SCOPE, AND FUNCTIONAL PARAMETERS
1. Nature and Objectives of the Platform
Fanspace is conceived as a dynamic digital environment designed to enable content creators to cultivate, engage, and monetize their audience through curated and interactive offerings. The Platform serves a dual purpose: facilitating creative expression and discovery, while offering Users access to a broad spectrum of distinctive content experiences. Although certain functionalities may be accessible without charge, enhanced features including access to premium content, exclusive materials, and creator-supported services are subject to applicable fees or subscription models.
2. User Participation, Content Exchange, and Interactive Features
The Platform enables registered Users to disseminate a range of multimedia content, comprising, without limitation, text posts, visual works, audiovisual recordings, and other expressive formats through their individual Accounts. Users may interact within the Platform by subscribing to creators, sending direct messages, supporting creators financially, or engaging with community-driven features tailored to personal interests.
Fanspace provides the technological infrastructure necessary to support these interactions, including content hosting services, secure payment facilitation, and messaging systems, all designed to preserve data integrity, user safety, and transactional reliability.
3. Service Availability and Operational Continuity
Fanspace does not, and cannot, warrant uninterrupted access to the Platform or continuous availability of any specific functionality. The provision of Services may be subject to periodic suspension, temporary inaccessibility, or diminished performance due to system maintenance, technical malfunctions, force majeure events, or other operational contingencies beyond our control.
While reasonable efforts will be made to communicate anticipated disruptions in advance, Fanspace expressly reserves the right to modify, limit, suspend, or terminate any aspect of the Platform, whether temporarily or permanently, without incurring liability or being obligated to provide advance notice in all cases.
V. ACCOUNT ESTABLISHMENT, ELIGIBILITY CRITERIA, AND USER RESPONSIBILITIES
1. Eligibility for Registration and Access
Access to the Platform and its associated Services requires the successful creation of a valid User Account. In order to register, you must provide accurate and verifiable information as part of the onboarding process. Such information includes, but is not limited to, your full legal name, a valid email address, and a secure password. Depending on the nature of your intended use or the category of Service you engage with, additional information may be required, including billing credentials, identification documents for verification purposes, or proof of legal age. Fanspace reserves the right to impose enhanced verification measures where necessary.
2. Confidentiality of Access Credentials
You are solely responsible for safeguarding the confidentiality of your Account login details, including your username and password. Disclosure of these credentials to any third party is strictly prohibited. All actions, communications, or transactions conducted under your login credentials shall be presumed to have been carried out by you, and you shall bear full liability for any such activity. In the event of suspected unauthorized access or compromise of your Account security, you are required to notify Fanspace without undue delay by contacting [email protected].
3. Restrictions on Account Ownership and Use
Each individual or legal entity is permitted to operate only one principal User Account, unless explicit written authorization has been granted by Fanspace for designated purposes. The use of automated registration methods, account generation by bots, impersonation of others, or creation of accounts under false identities is strictly forbidden. Any conduct that contravenes this provision may result in the immediate suspension or permanent deactivation of your Account, at Fanspace’s sole discretion.
4. Accuracy and Maintenance of Account Information
You are required to ensure that all information provided in your Account remains accurate, current, and complete at all times. Failure to update outdated details, or submission of inaccurate, misleading, or fraudulent information, may result in the restriction, suspension, or termination of your access to the Platform. In certain circumstances, such conduct may also constitute a violation of applicable legal obligations and may give rise to further consequences.
5. Use of Shared or Public Access Points
If you access your Account from shared or publicly accessible devices, such as those found in libraries, internet cafés, or co-working environments, you remain fully responsible for securing your session and preventing unauthorized use. Fanspace disclaims any liability for losses or adverse consequences arising from negligent handling of your login session on such devices, including failure to log out or prevent unauthorized access.
VI. USER DUTIES, CONDUCT STANDARDS, AND COMPLIANCE OBLIGATIONS
1. Adherence to Legal and Regulatory Frameworks
As a condition of access and continued use of the Platform, you undertake to conduct all activities in strict compliance with applicable laws and regulations. This includes, but is not limited to, legal provisions relating to data privacy, intellectual property rights, consumer protection, digital communications, and any industry-specific standards that may apply to the content you publish or the services you promote through the Platform.
You acknowledge that legal obligations may vary depending on your geographical location and the nature of your activity, and it is your sole responsibility to ensure ongoing compliance with all relevant legal requirements.
2. Commitment to Community Principles and Ethical Conduct
Fanspace is committed to fostering a respectful and inclusive digital environment. You are expected to conduct yourself in accordance with the ethical standards outlined in the Community Guidelines, which form an integral part of this Agreement. You must refrain from engaging in any conduct that may be deemed abusive, hostile, discriminatory, defamatory, or otherwise injurious to the well-being, dignity, or rights of other Users.
Content that promotes hatred, incites violence, harasses individuals or groups, or perpetuates discrimination on the basis of race, gender, sexual orientation, religion, disability, or any protected category is strictly prohibited and will not be tolerated under any circumstances.
3. Restrictions on Unlawful, Disruptive, or Abusive Behavior
Without limitation, you agree that you shall not engage in any of the following acts or practices:
- Extract, harvest, or collect user data or platform information by means of automated tools, scraping technologies, or data mining techniques, unless explicitly authorized in advance by Fanspace in writing.
- Misrepresent your identity, impersonate another individual or organization, or manipulate transmission metadata in a manner intended to disguise the origin of content or communications.
- Interfere with, manipulate, or disrupt the operation of the Platform or its associated systems, servers, networks, or technical infrastructure. This includes any unauthorized attempts to access restricted areas or to compromise the integrity or security of the Platform.
- Upload, disseminate, or transmit any material that is unlawful, offensive, menacing, obscene, defamatory, fraudulent, or otherwise incompatible with the purpose and values of the Platform.
4. Consequences of Breach and Enforcement Measures
Any violation of the obligations outlined in this section may result in immediate suspension or permanent revocation of your access rights, without prior notice. Fanspace reserves the right to pursue all legal remedies available under applicable law, including but not limited to injunctive relief, account termination, and the initiation of legal proceedings to recover damages, enforce compliance, or protect its operational integrity and community standards.
VII. ACCESS TO PREMIUM FEATURES AND FEE-BASED SERVICES
1. Overview of Fee-Based Services
The Fanspace Platform provides Users with access to both complimentary features and a suite of enhanced functionalities available through subscription plans, one-time purchases, or other monetized offerings. These enhanced services, collectively referred to in this Agreement as Paid Services, are subject to specific charges. All applicable fees, subscription costs, and purchase terms are disclosed in advance of any transaction and shall be deemed accepted upon confirmation by the User.
By electing to engage with any Paid Service, you expressly acknowledge and agree to the associated financial obligations, including any taxes, surcharges, or platform service fees, as indicated at the point of sale or checkout interface.
2. Monetization Channels and Payment Structures
Paid Services may be structured under various monetization formats. These may include, but are not limited to, the following models:
- Subscription-Based Access. Recurring payment arrangements that grant Users privileged access to premium content or exclusive Creator offerings.
- Single-Purchase Unlocks. Non-recurring, pay-per-item transactions that provide access to specific content or services without ongoing charges.
- Voluntary Contributions and Creator Support. Optional financial contributions in the form of digital tips or donations, designed to support individual Creators at the discretion of the User.
Each transaction is governed by the applicable pricing structure, and all relevant taxes, administrative fees, or service charges shall be presented transparently prior to final confirmation of payment.
3. Payment Processing and Third-Party Intermediation
All monetary transactions on the Platform are facilitated through authorized third-party payment providers. These Payment Partners may include, but are not limited to, credit card processors, banking gateways, or digital wallet operators. By initiating a transaction, you agree to abide by the terms and conditions imposed by the respective Payment Partner, which may require separate acknowledgment or contractual consent.
Fanspace does not assume responsibility for the internal processing practices or terms of service of any Payment Partner. Any issues related to payment processing, transaction failures, or billing disputes arising under the jurisdiction of the Payment Partner shall be addressed directly with the relevant intermediary.
4. Transaction Currency and Financial Adjustments
Unless explicitly stated to the contrary, all pricing and transaction amounts reflected on the Platform are denominated in United States Dollars (USD). If payment is rendered in a currency other than USD, you may be subject to exchange rates, cross-border transaction fees, or service charges levied by your financial institution.
Fanspace disclaims liability for any such additional costs, including currency conversion fees or processing charges applied by banks, credit institutions, or international payment providers. You are solely responsible for verifying and understanding any financial implications that may arise from transacting in a non-USD currency environment.
VIII. SUBSCRIPTION FRAMEWORK, RENEWAL TERMS, AND CANCELLATION PROVISIONS
1. Recurring Subscription Structure
Where a User elects to engage in a Paid Service offered on a recurring basis, subscription fees shall be charged automatically at the commencement of each defined billing period. The applicable billing cycle, such as a monthly, quarterly, or custom interval, shall be specified at the time of purchase and will govern the timing of all subsequent charges, unless and until the subscription is cancelled in accordance with this Agreement.
Some Creators may choose to implement alternative billing frequencies. Such terms, if applicable, will be expressly disclosed prior to the confirmation of your subscription.
2. Promotional Access and Trial Periods
From time to time, Fanspace or individual Creators may extend promotional offers that include complimentary access to premium features for a limited duration. Unless you actively cancel the trial subscription prior to its expiration, you will be automatically enrolled into a paid billing cycle at the standard subscription rate.
The duration of any free trial and the pricing applicable upon expiration will be clearly communicated before you are granted access to the promotional period. Your enrollment in such offers shall constitute express acceptance of the transition to a paid plan upon the trial’s conclusion, unless cancellation is executed in a timely manner.
3. Adjustments to Subscription Pricing
Subscription fees may be subject to change in accordance with modifications made by the respective Creator or, where applicable, by Fanspace. You will receive prior notice of any intended pricing adjustments before the new rate takes effect.
Should you find the revised price unacceptable, you may elect to cancel your subscription before the commencement of the next billing cycle. Failure to cancel in advance of the effective date will be interpreted as consent to the updated subscription fee, and charges will be applied accordingly.
4. Termination of Subscriptions and Refund Eligibility
You may cancel your subscription at any time through your Account settings or by submitting a written request to [email protected]. Following cancellation, access to the subscribed content or service will remain available until the end of the current billing cycle, at which point the subscription shall lapse without further renewal.
Unless otherwise required under applicable statutory provisions or explicitly provided for in Fanspace’s Refund Policy, subscription fees already paid shall not be subject to prorated refund or reimbursement. Refund eligibility, where applicable, shall be determined strictly in accordance with prevailing laws or the specific refund provisions in effect at the time of cancellation.
IX. CREDITS AND PLATFORM-BASED VIRTUAL TOKENS
1. Nature and Functional Scope of Credits
Fanspace operates a proprietary virtual credit system designed to facilitate access to certain features, services, or content available through the Platform. These units, referred to as Credits, may be acquired in advance and redeemed within the Platform for designated Paid Services. Credits possess no intrinsic financial value outside the Fanspace environment and shall not be regarded as electronic money, digital currency, or legal tender in any jurisdiction.
2. Methods of Acquisition and Promotional Offers
Credits may be obtained by Users through approved payment mechanisms, including credit or debit card transactions, bank transfers, or third-party payment gateways, as specified at the time of purchase. Fanspace reserves the right to introduce promotional campaigns, credit bundles, or bonus allotments at its sole discretion. Such promotional Credits may be subject to specific conditions and expiration terms, which shall be disclosed at the time of issuance.
3. Usage Parameters and Transfer Restrictions
The use of Credits is subject to the following limitations:
- Credits are non-refundable and may not be exchanged for cash or any other form of financial compensation, except where such redemption is expressly required by applicable law or is specifically addressed within the provisions of this Agreement.
- Credits are uniquely associated with the User Account through which they were purchased or issued. They may not be gifted, resold, reassigned, or otherwise transferred to another User without prior written authorization from Fanspace.
- Fanspace retains the authority to revoke, deactivate, or deduct Credits in circumstances where there is reasonable suspicion of misuse, fraud, system manipulation, or violation of the terms of this Agreement or any related policies.
4. Validity Period and Credit Expiration
Unless otherwise prohibited by local legislation, unused Credits may be subject to expiration after a defined period of account inactivity. Specific timeframes governing such expiration shall be disclosed either within this Agreement or in a separately published Credit Terms policy. Upon expiration, the affected Credits shall be deemed forfeited, and no reimbursement or reinstatement shall be owed.
X. PAYMENT TERMS, REFUND CONDITIONS, AND CHARGEBACK PROCEDURES
1. User Payment Obligations
By submitting valid payment credentials through the Platform, you expressly authorize Fanspace to initiate charges against your chosen payment method for all fees, purchases, or subscriptions you undertake. You are solely responsible for ensuring that your payment information remains accurate, current, and capable of being processed at the time of each transaction.
2. Refund Policy and Exceptions
All payments made in exchange for access to premium content or other fee-based services are generally considered final and non-refundable. Fanspace maintains a strict no-refund policy, subject to limited exceptions in exceptional circumstances where a service or subscription fails to be delivered in accordance with its stated terms.
Requests for refunds will be evaluated on a discretionary basis and may be approved or declined at the sole judgment of Fanspace. The existence of this limited exception shall not be construed as creating an entitlement to reimbursement, nor shall it modify the general principle of finality in transactions.
3. Chargebacks and Disputed Transactions
In the event that you initiate a chargeback with your payment provider after having accessed the associated content, service, or subscription, Fanspace reserves the right to impose immediate and proportionate consequences. These may include temporary or permanent suspension of your Account, recovery of refunded amounts, and imposition of administrative charges where permissible by law.
All chargeback claims are subject to thorough internal review. Fanspace may contest any dispute it reasonably believes to be unsubstantiated, misleading, or fraudulent.
4. Impact of Chargebacks on Creators
Where chargebacks are linked to payments made to a Creator, Fanspace reserves the right to implement remedial or protective measures to ensure platform stability and financial compliance. These measures may include, without limitation, the following:
- Temporary withholding of pending Creator payouts
- Mandatory submission of supplemental identity verification or Know Your Customer (KYC) documentation
- Restrictions on further monetization activities
- Conditional removal of content pending resolution
- Suspension or permanent deactivation of the Creator's Account in cases of sustained or excessive chargeback activity
5. Administrative Charges for Chargeback Incidents
Fanspace may assess an administrative handling fee of twenty-five United States dollars (USD 25) for each chargeback processed in connection with a User or Creator Account. This fee is intended to offset the operational costs associated with investigating, managing, and responding to payment disputes.
In cases where a Creator experiences a disproportionately high volume of chargebacks, additional sanctions may be applied. These may include limitations on monetization tools, enforced revisions to content presentation, and mandatory compliance interventions as deemed necessary by Fanspace.
All Users and Creators are advised to take preventive action to mitigate chargeback risks. These may include maintaining transparent communication with subscribers, accurately describing offerings, and promptly resolving complaints in good faith. This policy exists to preserve the operational integrity of the Platform and to discourage exploitative or abusive practices.
XI. INTELLECTUAL PROPERTY RIGHTS AND OWNERSHIP ENTITLEMENTS
1. Proprietary Rights of the Platform Operator
All intellectual property elements incorporated within or underlying the Fanspace Platform are and shall remain the exclusive property of the Platform operator or, where applicable, its duly authorized licensors. These proprietary elements include, without limitation, all trademarks, service marks, logos, domain identifiers, interface designs, source code, software architecture, audiovisual compositions, database structures, and any other creative or technical components that constitute or support the Platform.
Nothing contained within this Agreement shall be interpreted as conferring, assigning, or implying any transfer of ownership rights, title, or interest in such intellectual property to any User. All rights not expressly granted herein are expressly reserved.
2. Scope of User Access and Permitted Use License
Fanspace hereby grants Users a limited, revocable, and non-exclusive license to access and utilize the Platform solely for personal use, provided such use remains lawful, non-commercial, and consistent with the intended purpose of the Platform. Users acting in the capacity of Creators may exercise commercial usage rights within the parameters defined by the Creator Terms or other applicable agreements, subject at all times to compliance with this Agreement.
This license does not entitle the User to engage in any of the following prohibited activities:
- Reproducing, distributing, transmitting, publishing, or publicly displaying any substantial portion of the Platform’s content, excluding content that the User has independently created and lawfully uploaded.
- Modifying, reverse-engineering, decompiling, disassembling, or otherwise attempting to extract or reconstruct the underlying source code or technical framework of the Platform.
- Replicating, appropriating, or utilizing Fanspace branding elements, visual designs, software features, or interface components for the purpose of developing, marketing, or operating a competing service or derivative platform.
Violation of these restrictions shall constitute a material breach of this Agreement and may result in immediate termination of access rights, in addition to any legal remedies available under applicable intellectual property laws.
3. Trademark Usage and Brand Protection
The terms “Fanspace,” “Fanspace.io,” and all other marks, symbols, or brand identifiers associated with the Platform constitute protected trademarks or registered service marks of the Platform operator. Nothing in this Agreement shall be construed as granting the User any right, license, or entitlement to use such trademarks, either in whole or in part, unless expressly authorized in writing by the rights holder or permitted under applicable statutory fair use doctrines.
Unauthorized use of Fanspace trademarks or trade dress, including imitation or misrepresentation in a manner likely to cause confusion, shall be treated as an infringement and may give rise to enforcement actions under trademark law.
XII. USER-GENERATED CONTENT AND ASSOCIATED RIGHTS
1. Retention of Intellectual Property by Users
All intellectual property rights in content authored and uploaded by you to the Platform, including but not limited to written text, photographic material, video content, illustrations, or other creative expressions, shall remain vested in you as the original creator or lawful rights holder, subject to the limited licenses granted under the terms of this Agreement.
2. License Grant to the Platform Operator
By submitting, uploading, or publishing content through your Account, you hereby grant to Fanspace, together with its affiliates, legal successors, and assigns, a non-exclusive, royalty-free, transferable, and globally valid license to store, display, reproduce, distribute, adapt, edit, publish, and otherwise make use of your content solely for purposes connected to the operation, enhancement, maintenance, and public promotion of the Platform and its services.
This license shall remain in effect for as long as your content is available on the Platform. If you subsequently delete or remove the content from your Account, the license shall be deemed to expire, except in the following circumstances:
- The content has been shared with other Users who continue to access or retain copies of it.
- The content must be retained in archival form for purposes of legal compliance, regulatory preservation, or internal audit.
3. User Representations and Warranties
By uploading content to the Platform, you represent and warrant the following:
- You are the sole author and owner of the content or possess all legal rights, licenses, and permissions necessary to submit and use it in accordance with this Agreement.
- Your content does not infringe, misappropriate, or otherwise violate the intellectual property, moral rights, publicity rights, or any other legal rights of third parties.
- The content you submit complies with all applicable laws, regulations, and platform policies, including the Acceptable Use Standards and Community Guidelines.
You acknowledge that any misrepresentation regarding your rights in the content may result in liability and may constitute a material breach of this Agreement.
4. Responsibility and Legal Exposure for Submitted Content
You assume full responsibility for the content you choose to publish or transmit through the Platform. This responsibility extends to both the legal implications of publication and the social or reputational impact it may carry. Fanspace does not assume liability for, nor does it endorse, verify, or monitor the accuracy, legality, or appropriateness of any User-submitted content.
All content hosted or displayed via the Platform remains the sole responsibility of the User from whom it originated.
5. Promotional Use and Visibility Rights
In addition to the operational license granted above, you also authorize Fanspace to utilize your content for promotional purposes that directly relate to showcasing your presence or elevating your discoverability within the Platform. This includes, but is not limited to, the display of your content in marketing campaigns, email communications, featured listings, creator spotlight placements, discovery tools, and social media outreach conducted by Fanspace.
Such promotional use shall be undertaken solely to support and amplify your visibility on the Platform. Fanspace shall not sell, sublicense, or commercially exploit your content to third parties unrelated to the operation or promotion of the Platform.
XIII. CONTENT REGULATION, ENFORCEMENT MEASURES, AND COPYRIGHT COMPLIANCE
1. Content Oversight and Moderation Protocols
Fanspace maintains a proactive approach to content moderation by utilizing both algorithmic detection systems and qualified human reviewers to identify material that may contravene the Platform’s internal standards or applicable legal requirements. The moderation process may result in the restriction, removal, or disabling of access to any content that, in the reasonable judgment of Fanspace, violates operational policies, community rules, or statutory obligations.
Moderation actions may be executed without prior notice and may apply to both public and restricted content. Fanspace reserves the right to intervene at any time to preserve the legal integrity and safety of the Platform.
2. Copyright Infringement Notification and Takedown Procedures
Fanspace adheres to the principles and obligations set forth under the United States Digital Millennium Copyright Act (DMCA), and actively facilitates the resolution of claims relating to alleged copyright violations. If you are the rightful owner of intellectual property and believe that material hosted on the Platform infringes your exclusive rights, you may submit a formal takedown request in accordance with the statutory requirements of the DMCA.
To be considered valid, such a notice must include the following information:
- A clear identification of the copyrighted work claimed to have been infringed
- A detailed description of the allegedly infringing content and its location on the Platform
- The name, address, telephone number, and electronic mail address of the complaining party
- A statement affirming good faith belief that the use of the material is unauthorized
- A declaration under penalty of perjury that the information provided is accurate and that the complainant is the rightful copyright holder or authorized agent
- A physical or electronic signature of the rights holder or duly authorized representative
Upon receipt of a compliant takedown notice, Fanspace will undertake a timely review and may remove or restrict access to the disputed content. Users who are subject to repeated substantiated infringement claims may have their accounts suspended or permanently terminated.
3. Counter-Notification Process for Disputed Removals
If your content has been removed in response to a DMCA claim and you believe such removal was unjustified or the result of misidentification, you are entitled to submit a counter-notification. This response must be filed in accordance with DMCA guidelines and must contain the following elements:
- A specific identification of the material that has been removed or disabled and the location where it previously appeared
- Your full legal name, mailing address, telephone number, and a statement consenting to the jurisdiction of the appropriate federal court
- A declaration under penalty of perjury that the content was removed due to mistake or misidentification
- A request for reinstatement of the material and a physical or electronic signature
Upon receipt of a valid counter-notification, Fanspace may restore the removed content unless the original complainant initiates legal proceedings within the legally prescribed timeframe.

Fanspace implements a multi-layered enforcement strategy that includes automated detection mechanisms and human review processes to mitigate the dissemination of content deemed harmful, unlawful, or incompatible with the Platform’s community standards.
Content may be removed or restricted if it falls within any of the following categories:
- Child sexual exploitation material or any content depicting or suggesting abuse of minors
- Depictions of graphic violence, torture, or severe bodily harm
- Promotion or display of weapons, explosives, or other dangerous items intended to cause harm
- Content that glamorizes or facilitates illegal drug use or distribution of paraphernalia
- Hate speech, racial or ethnic slurs, or any expression that incites hostility, discrimination, or violence
Fanspace continuously refines its moderation infrastructure in order to provide a secure, lawful, and respectful environment for all Users and Creators. The application of moderation measures remains subject to the sole discretion of the Platform operator in alignment with prevailing legal norms and internal policies.
XIV. CREATOR PARTICIPATION, COMPENSATION FRAMEWORK, AND REVENUE GOVERNANCE
1. Eligibility for Creator Status and Participation Requirements
Users who seek to monetize content through the Platform, including by offering subscriptions, paid media, or other revenue-generating services, must apply for Creator status. Admission to the Creator program is contingent upon successful completion of enhanced verification procedures, which may include submission of personal identification documents, proof of address, tax information, or other relevant credentials as determined by Fanspace.
Fanspace reserves the right to reject, suspend, or revoke Creator status at its sole discretion, including in instances where eligibility criteria are not satisfied or where indicators of fraudulent or non-compliant activity are detected.
2. Revenue Distribution and Platform Fee Structure
Creators are entitled to receive a designated share of the revenue generated from transactions associated with their content and services. This proportion, referred to as the Creator Earning Rate, is calculated as a percentage of the total transaction value. Fanspace retains the remaining balance, defined herein as the Platform Fee.
The Platform Fee reflects the cost of maintaining the technological infrastructure, payment processing systems, data hosting, security measures, and operational support required to deliver the Services. Both the Creator Earning Rate and Platform Fee may be subject to periodic adjustments in accordance with promotional events, user tier structures, or strategic updates to the Platform’s financial model.
3. Disbursement of Creator Earnings
Creators may initiate withdrawal of accrued earnings via the payout channels approved by Fanspace. Unless otherwise specified, withdrawal requests are generally processed within ten business days following confirmation. Delays may occur due to external processing times, institutional banking delays, or public holidays. Earnings are disbursed in accordance with the applicable payout schedule and method selected by the Creator.
4. Refunds, Chargebacks, and Dispute Resolution Impacts
In the event that a User initiates a refund or chargeback on a payment previously allocated to a Creator, Fanspace reserves the right to reclaim the disputed amount directly from the Creator’s balance. Where applicable, administrative handling fees may also be imposed to offset the operational burden of dispute resolution.
Creators are expected to ensure the accuracy and integrity of the content they provide, to maintain clear communication with subscribers, and to avoid deceptive or misleading practices that may result in disputes or refund claims. Recurrent chargebacks linked to a Creator’s activity may trigger further remedial actions, including earnings holds or account review.
5. Prohibition on Off-Platform Commercial Transactions
Creators are strictly prohibited from using the Platform to solicit, advertise, or process payments for any content, services, or interactions that occur outside the Fanspace ecosystem. This restriction includes, but is not limited to:
- Promoting or linking to personal websites, external storefronts, or third-party payment processors
- Requesting direct payments through unapproved methods or external platforms
- Offering premium content, consulting services, or fan engagement opportunities outside the scope of the Platform’s infrastructure
Any breach of this provision may result in immediate account suspension or termination, forfeiture of accrued but unpaid earnings, and the imposition of other sanctions deemed appropriate by Fanspace in accordance with the severity of the violation.
6. Set-Off Rights and Financial Reconciliation
Fanspace reserves the contractual right to deduct any amounts owed by the Creator to the Platform from current or future earnings. Such amounts may include, without limitation, refunded transactions, chargebacks, administrative penalties, or other liabilities incurred under this Agreement.
Set-off may be executed without prior notification and may involve currency conversions, in which case Fanspace will apply a commercially reasonable exchange rate at the time of reconciliation.
7. Verification Procedures and Identity Confirmation Protocols
To preserve the trust, integrity, and compliance standards of the Platform, Fanspace may implement advanced identity verification protocols for Creators. These may include real-time liveness detection, biometric facial recognition procedures, or cross-verification of submitted identification documents.
Failure to complete or pass the required verification process may result in denial of Creator status or revocation of existing access privileges. These procedures are designed to ensure that all monetized content and associated earnings originate from verified and accountable individuals or entities.
XV. REFERRAL PROGRAM FRAMEWORK AND PARTICIPANT ENTITLEMENTS
1. Program Introduction and General Scope
Fanspace may operate a referral initiative that enables existing Users or Creators to earn incentives for introducing new participants to the Platform. This initiative is designed to support the organic growth of the community while offering a structured reward mechanism to those who facilitate such introductions.
Details concerning the applicable referral commission rates, eligibility criteria, and reward duration will be made available through designated areas of the Platform or in a separately issued Referral Program Policy.
2. Referral Compensation and Revenue Allocation
Where a referral is deemed successful, the referring party may be eligible to receive a commission based on a portion of the Platform Fee collected from transactions generated by the referred Creator. These commissions are drawn from Fanspace’s retained portion of revenue and shall not affect or diminish the referred Creator’s entitled revenue share.
Eligibility for referral rewards is contingent upon the referred Creator completing all required onboarding protocols, including verification procedures, and subsequently generating qualifying revenue through the Platform.
3. Program Duration and Eligibility Period
Unless specified otherwise in the Referral Program Policy, referral incentives will be issued for a defined period commencing on the date the referred Creator successfully completes identity verification and activates their Creator account.
The standard eligibility window for referral rewards is thirty-six months, calculated from the date of verification and account activation. Following the expiration of this period, no further referral-based commissions shall accrue or be payable in connection with that referral.
4. Amendments, Limitations, and Discontinuation Rights
Fanspace reserves the right to revise the structure of the referral program at any time. Modifications may include adjustments to commission percentages, changes in reward durations, or the complete withdrawal of the referral initiative. Any such amendments will be communicated with reasonable notice and will not affect rewards already earned prior to the effective date of change.
Participation in the referral program is governed by the latest applicable terms. Referrers are responsible for ensuring continued compliance with any updates to program policies.
5. Improper Use and Program Misconduct
Users are strictly prohibited from engaging in any conduct that manipulates, undermines, or circumvents the intended purpose of the referral system. This includes, without limitation:
- Creating fictitious or duplicate accounts to simulate referrals
- Utilizing spam-based distribution or deceptive promotion methods
- Violating any applicable legal or regulatory requirements in connection with referral activity
Any abuse or attempted exploitation of the referral program may result in the immediate forfeiture of unearned or pending referral rewards. Fanspace may also, at its discretion, suspend or terminate the referring User’s account and pursue any additional remedies in accordance with Section XX of this Agreement.
6. Reversals and Disqualifications
Referral commissions are conditional upon the successful completion of qualifying transactions. In cases where a transaction is refunded or reversed through a chargeback, Fanspace reserves the right to revoke or deduct any associated referral reward previously issued in relation to that transaction.
Participation in the referral program is a privilege extended by Fanspace and may be revoked at any time if program guidelines are violated or if the referring User’s activity is deemed detrimental to the integrity of the Platform.
XVI. PERMITTED USE LIMITATIONS AND LICENSE BOUNDARIES
1. Restrictions on Use of Licensed Materials
Access to and use of the Fanspace Platform is granted on a limited, conditional, and revocable basis, strictly in accordance with the terms set forth in this Agreement. As a User, you acknowledge and agree that your license to use the Platform is subject to the following prohibitions:
- You may not reproduce, duplicate, or copy substantial portions of the Platform’s code, design elements, or content, except to the extent that such reproduction occurs incidentally as part of ordinary browser or device functionality necessary for lawful access.
- You may not sell, assign, rent, lease, license, or sub-license any component of the Platform or Services to any third party without prior written authorization from Fanspace.
- You may not decompile, disassemble, translate, or attempt to reverse-engineer any part of the Platform’s source code, technical architecture, or underlying software logic, except where explicitly permitted by applicable law.
- You may not merge, integrate, embed, or otherwise incorporate any part of the Platform into another website, application, software solution, or digital service without express written consent from Fanspace.
Any attempt to perform or facilitate any of the above actions shall constitute an unauthorized use of the Platform and a material breach of this Agreement.
2. Remedies and Enforcement Measures
Any violation of the restrictions set forth in this section shall entitle Fanspace to enforce its rights through immediate termination or suspension of your access privileges, without prejudice to any other legal remedy available.
Fanspace further reserves the right to initiate legal proceedings to pursue compensatory damages, injunctive relief, or other appropriate judicial or administrative remedies necessary to prevent continued or future misuse.
These provisions are intended to safeguard the proprietary integrity of the Platform and shall remain enforceable irrespective of any other contractual rights or remedies that may be available under law or equity.
XVII. STANDARDS OF CONDUCT AND ACCEPTABLE USE POLICY
1. Obligations of Responsible Use
All Users, including Creators, are required to engage with the Platform in a manner that is lawful, respectful, and consistent with the principles outlined in this Agreement and any supplementary rules issued by Fanspace. You must refrain from uploading, distributing, or promoting any material that is unlawful, defamatory, deceptive, harmful, infringing, or otherwise contrary to public interest or legal standards.
You are expressly prohibited from engaging in any conduct that compromises the operational security, technical functionality, or reputational integrity of the Platform. This includes any attempt to interfere with system performance, manipulate platform features, or subvert internal processes.
Of particular importance, Users and Creators must not attempt to circumvent the Platform’s billing infrastructure or facilitate transactions outside of the Fanspace ecosystem. Reference is made to Section XIV.5 regarding the prohibition on off-platform commercial activity. Any violation of this provision shall be treated as a material breach of this Agreement and may lead to account suspension, permanent termination, and the pursuit of legal remedies.
Each User bears sole responsibility for their conduct and for the legality, accuracy, and propriety of any content or communications they choose to submit or disseminate through the Platform.
2. Mechanisms for Reporting Misuse or Policy Breaches
Fanspace encourages all Users to proactively report suspected misconduct, violations of this Agreement, or breaches of Community Guidelines. Reports may be submitted by email to [email protected]. Each report will be assessed in good faith and addressed in accordance with internal review procedures. While Fanspace does not guarantee specific timelines, it generally endeavors to respond to such reports within a period of seven calendar days, unless circumstances require additional time for investigation.
3. Prohibition on Spam and Automated Disruption
You may not use the Platform to disseminate unsolicited messages, including but not limited to mass promotional emails, phishing communications, chain messages, junk mail, or other forms of electronic nuisance content.
Automated tools, bots, or programmatic scripts designed to interact with the Platform without prior written approval from Fanspace are strictly prohibited. Such activity may result in disruptions to Platform stability and is therefore incompatible with acceptable use standards.
Where such behavior is identified, Fanspace reserves the right to implement appropriate technical or administrative countermeasures, including account restriction or service denial.
XVIII. DISCLAIMERS OF WARRANTY AND LIMITATION OF LIABILITY
1. Platform Availability and Disclaimer of Warranties
The Fanspace Platform and all associated services are offered strictly on an "as is" and "as available" basis. Although reasonable efforts are undertaken to maintain a secure, accessible, and operational environment, Fanspace makes no warranties or representations of any kind, whether express or implied, regarding the quality, reliability, or suitability of the Platform or its contents.
To the fullest extent permitted by applicable law, Fanspace expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, satisfactory quality, title, and non-infringement.
2. No Endorsement or Guarantee of User Content
Fanspace does not review, endorse, certify, or assume responsibility for any content submitted, posted, or distributed by Users or Creators. All such content is made available solely at the discretion of its originator. Fanspace assumes no liability for the accuracy, completeness, legality, or appropriateness of any user-generated content available through the Platform.
You acknowledge that any reliance upon such content is undertaken solely at your own risk and discretion.
3. Limitation of Liability for Damages
Except where a limitation is prohibited by applicable law, the liability of Fanspace and its affiliated entities, officers, employees, or agents shall be limited in all respects as follows:
- Fanspace shall not be held liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, reputational harm, or loss of anticipated revenue, arising from your use of or inability to access the Platform.
- In all cases, the maximum aggregate liability of Fanspace, whether arising in contract, tort, or otherwise, shall be limited to the greater of the following amounts: (a) three times the total amount of fees actually paid by you to Fanspace in the twelve months preceding the incident giving rise to the claim, or (b) one thousand United States dollars (USD 1,000).
These limitations shall apply regardless of whether Fanspace has been advised of the possibility of such damages or whether such damages were foreseeable.
4. Exceptions to Liability Limitations
Nothing in this Agreement shall be interpreted as excluding or limiting liability in any instance where such exclusion or limitation would be unlawful. This includes, without limitation, liability arising from death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded under the governing legal framework.
5. Infrastructure Limitations, Connectivity Dependencies, and Device Responsibility
You acknowledge that access to the Platform is inherently dependent on third-party infrastructure, including internet connectivity services, telecommunications networks, cloud service providers, and local hardware configurations, none of which are controlled or managed by Fanspace.
Accordingly:
- Fanspace shall not be responsible for service delays, data transmission failures, connection interruptions, packet loss, or other communication disruptions attributable to external infrastructure providers or network conditions.
- Fanspace makes no representation or guarantee that access to the Platform will be continuous, uninterrupted, or error-free, and shall not be liable for temporary or prolonged outages resulting from maintenance, system upgrades, or force majeure events.
- You remain solely responsible for ensuring that your device is properly configured, secure, and compatible with the Platform’s technical requirements. This includes the installation and maintenance of appropriate security software, firewalls, and up-to-date system configurations. Any performance degradation or connectivity failure arising from your device, local settings, or internet service provider shall fall exclusively under your responsibility.
Fanspace shall bear no liability for losses, damages, or disruptions caused by technical failures beyond its reasonable control.
XIX. FORCE MAJEURE AND EVENTS BEYOND OUR REASONABLE CONTROL
1. Non-Liability for External Disruptions
Fanspace shall not be held liable for any delay, failure, or interruption in the performance of its obligations under this Agreement if such delay or failure arises from circumstances that fall outside the reasonable control of the Platform operator. These occurrences, commonly referred to as force majeure events, may prevent, hinder, or materially impair the provision of Services, despite the exercise of reasonable diligence.
During the continuance of such events, all affected obligations shall be considered temporarily suspended, and no breach shall be inferred from any delay in performance attributable to such circumstances.
2. Efforts to Minimize Impact and Operational Response
Fanspace commits to undertaking commercially reasonable efforts to mitigate the adverse effects of any disruption caused by events beyond its control. Where feasible, the Platform will provide timely notice regarding the nature of the disruption and any resulting changes to service availability or operational procedures.
Nevertheless, Users acknowledge that under exceptional conditions, uninterrupted service cannot be guaranteed and that certain disruptions may be unavoidable despite mitigation efforts.
3. Illustrative Categories of External Events
Events that may be classified as beyond Fanspace’s control include, but are not limited to, the following illustrative categories:
- Natural disasters such as floods, hurricanes, earthquakes, wildfires, or severe weather events
- Widespread public health emergencies, including pandemics, epidemics, or government-imposed quarantine measures
- Malicious cyber activity including distributed denial of service attacks, unauthorized intrusions, or systemic security breaches
- Armed conflicts, acts of terrorism, civil unrest, or political instability
- Labor disputes, including strikes, lockouts, or workforce shortages
- Interruptions or failures involving third-party service providers, utility infrastructure, hosting networks, or telecommunications systems
4. Operational Consequences and Temporary Measures
In response to any qualifying event of this nature, Fanspace may implement temporary suspensions or limitations on certain Platform functions. This may include the delay of service delivery, the postponement of Creator payouts, the restriction of user access to specific features, or other appropriate operational measures.
Such actions may be taken with or without advance notice, depending on the immediacy and severity of the underlying disruption. Fanspace shall not be held accountable for any resulting inconvenience, loss of revenue, or service degradation arising directly from such events.
XX. ACCOUNT TERMINATION, SUSPENSION, AND CANCELLATION PROCEDURES
1. Termination Initiated by the User
You may elect to close your Account at any time by accessing your account settings and selecting the available cancellation option, or by submitting a formal request via email to [email protected]. Upon receipt of your request, Fanspace will proceed to disable public visibility of your profile and remove access to your content within a commercially reasonable timeframe.
Unless otherwise required by applicable law, your Account data will remain available for personal retrieval for a period not exceeding thirty calendar days following the effective date of termination. After this period, any retained data may be irreversibly deleted from the system or archived in accordance with Fanspace’s data retention protocols.
2. Suspension or Termination by Fanspace
Fanspace reserves the right, at its sole discretion and without prior notice, to suspend or permanently terminate your Account in any of the following circumstances:
- A material breach of this Agreement or any supplemental policies governing your use of the Platform
- Evidence or suspicion of fraudulent, abusive, unlawful, or deceptive activity originating from your Account
- A decision by Fanspace to discontinue, restructure, or materially modify the Platform or any of its services
In the event of termination, Fanspace is not obligated to issue any refunds for unused credits, subscription periods, or related services, unless a refund is expressly required by law or agreed in a separate contractual arrangement.
3. Consequences and Continuing Obligations Post-Termination

Certain provisions within this Agreement, by their inherent nature, shall continue in force notwithstanding the cessation of your Account. These include provisions relating to proprietary rights, liability limitations, indemnification, and compliance undertakings.
4. Restriction on Re-Registration Following Termination
Where an Account has been terminated by Fanspace due to a breach of contractual terms or violation of law, you shall not be permitted to create a new Account under an alternate name, pseudonym, or affiliated entity. Fanspace reserves the right to identify and block such re-registration attempts through technical or administrative means.
Any deliberate circumvention of termination protocols shall constitute a further violation of this Agreement and may result in legal action or additional enforcement measures.

- The submission, publication, distribution, or display of any content originating from your Account, including but not limited to claims of intellectual property infringement, defamation, violation of privacy rights, or harm resulting from misleading or unlawful material;
- Any misuse, abuse, or unauthorized access of the Platform, whether by you or by any individual acting on your behalf or using your credentials;
- Any contravention of applicable laws, regulations, or third-party rights in connection with your use of the Platform.
This indemnity shall apply regardless of the form of action and shall survive the termination, suspension, or cancellation of your Account.
2. Notification of Claims and Cooperation in Defense

You shall not enter into any settlement or resolution of such claim without the prior written approval of Fanspace, where such resolution imposes an obligation upon Fanspace, includes any admission of liability, or adversely affects the rights or interests of the Platform operator or its affiliates.
Failure to comply with the obligations outlined in this section may affect your indemnification responsibilities and may entitle Fanspace to pursue alternative legal remedies.
XXVI. GENERAL PROVISIONS AND INTERPRETIVE CLAUSES
1. Non-Waiver of Rights
No inaction, delay, or omission on the part of Fanspace in enforcing any right, claim, or provision under this Agreement shall be construed as a waiver of that right or provision. The waiver of any specific breach shall not be interpreted as a waiver of any subsequent or similar breach. All rights and remedies under this Agreement remain cumulative and exercisable independently.

If any provision, clause, or portion of this Agreement is determined by a court of competent jurisdiction to be invalid, unenforceable, or unlawful under applicable law, such portion shall be deemed severed from the remainder of this Agreement. All other provisions shall remain in full force and effect, unaffected by the severance, and shall continue to govern the relationship between the parties.
3. Restrictions on Assignment and Transfer
You may not assign, delegate, or otherwise transfer your rights or obligations arising under this Agreement without obtaining the prior written consent of Fanspace. Any attempted assignment or delegation without such consent shall be considered null and void.
Fanspace may assign or transfer its rights and obligations under this Agreement without restriction and without requiring your prior consent, provided that such transfer does not materially affect your rights as a user of the Platform.
4. Comprehensive Integration of Terms
This Agreement, together with any incorporated ancillary documentation, including but not limited to the Privacy Policy, Cookies Policy, Community Guidelines, and Creator Payment Terms, constitutes the full and complete understanding between you and Fanspace concerning your use of the Platform and supersedes all prior discussions, representations, communications, or agreements, whether oral or written, relating to the same subject matter.
No oral or written representation not expressly set forth in this Agreement shall be binding upon either party unless incorporated in a formal amendment.
5. Exclusion of Third-Party Rights
Unless expressly stated within this Agreement, no individual, corporation, organization, or legal entity other than the contracting parties shall acquire any rights, remedies, or entitlements under this Agreement.
